    Even if we rally more from current levels, that should incentivize shareholders even further to vote down the EGM resolutions.

    1) At $0.045 for example, we are granting institutions and the board a 25% discount to purchase stock - stock that you and I (ordinary shareholders have to pay market levels for) = dilution. If they want it they should pay market levels like the rest of us.

    2) The company doesn't need the cash at the moment - they have $2m in a term deposit for gods sake and other cash at call.

    3) If shareholders vote down the $0.036 EGM resolutions, it gives the board the option to raise later at a higher price instead - therefore resulting in far less dilution to ordinary shareholders. Put your hand up if you want another billion shares on issue with a consolidation to follow again?!

    There are currently 383.5m shares on issue.

    Raise $2.76m at $0.036 = 77m new shares on issue. 20% dilutive to you and I.

    Reiterate - they don't need the cash right at this point in time.

    ASX release 16 December in regards to use of proceeds - "to provide SUDA with funding to maintain its current developments for twelve months".

    Guys - they raised $3.56m only in July for the same purpose. Do they really need the money right now? No. Its probably a ploy to shake out p1ssed off shareholders and clean up the registry so that they don't see a repeat of the AGM resolution fails.

    4) Voting resolutions down stops the gratuitous issue of free options once more to Baker Young - they are already being paid handsomely for the placement. $250k?

    5) What do you think institutions that participated in the placement at $0.036 are going to do once they have their stock allocated in their account?...they are going to flip it out straight away and take the stag profit. One could also argue the fact that because there is a $0.036 placement ahead, that its putting a ceiling on us trading materially higher right now.

    There is next to no benefit to voting these resolutions through, other than the fact that directors will have more skin in the game - but they could just buy on market anyway so that point is really null and void.
