They got shares at a 17% discount to the price at the time! If that's not enough incentive then other's will take it up (as evidenced that it was oversubscribed).
As shareholders it's our job to keep management to account and look after our interests. You can't just give them free reign. Not having options attached will not affect future capital raising if needed, there will be demand.
