Asf - a director (Ronnie) was buying last week . There's even a whole thread about it here on HC.
Also , Paul Kitto was a net-buyer in the last 6months with some options at 40c .

Vote no at the meeting if you don't like the announced new shares . You might not get your way, but you can still send a clear message to the board with your vote .
And yes , I'm not sure all the funds will be voting in favour also .
As Ivory suggested - it all means very little in the long run .
