As I understand it, it's because the 30% premium is applied to the SP as at the EGM date…..once known it will be locked in, over the term of the CN, this condition is exercisable at the discretion of the note holder…..which is an important distinction IMO.

Crowd Mobile intend to repay the principal and interest in cash, but retains the flexibility to repay in equity throughout the life of the facility (30mths), AT THE COMPANIES ELECTION…..another important distinction…..IMHO, all as per announcement.

I don't normally like CN's, but these terms are the best I have come across.
