Overall I think slapping the “Global” term around warrants a showering of shares & options on management. That’s my negative spin.
An Employee Incentive Scheme is very common & all emerging companies in growth industries should have one.
I’m a little concerned about the ability of management to “issue EOP Options without seeking further shareholder approval”.
I guess & hope as it seems there’s an exercisable price to convert all EOP options to FPO shares. So few $$ going into company coffers for each conversion.
Just hope they don’t go nuts with this leeway.
Obviously they have some concern Resolution 2 would pass as they say, “If Resolution 2 is not passed by Shareholders but Resolution 3 is, the Class A and Class B Performance Options will be issued as Performance Options outside any formal Employee Option Plan, but on the same terms as described in this Explanatory Statement.”
Find that humorous, so Ken gets his CEO shares either way (As he should).
