When the board and majors hold majority, there is nothing minority shareholders can do to control the vote against resolutions.
They will pass.
The control is in the CR take up - even then you can’t win…don’t take it up and the company is likely to face administration. Do take it up and they are likely to blow the last of the gravy train.
This is where risk assessment and capital protection comes into play.
