The substantiation is provided in the BDO report attached to the proxy voting forms. It actually states the transaction is "not fair but it is reasonable" and then does the analysis to show that in all SOP and MBV valuation scenarios (Low and high case ) the value of an Aeris share is higher without the transaction. In table 2.3 the disadvantages discus the dilutive effect. We are being asked to give up value for the promise of good things to come. That's not investing. Its gambling
