At AGMs it always looks like they go with a show of hands, because that's the quick way of running a meeting. The chair knows how the proxies are voting so a show of hands is OK if it reflects the actual votes cast.
However, if its close, if the show of hands is known not to reflect the vote, or if someone calls for it, then there must be a poll, ie they will count the actual votes cast.
ASIC, Corporations Act and the Trust's constitution all require 75% of votes cast to pass a special resolution.
I wouldn't want 26% of hands going up at the meeting being seen as voting it down without counting the votes.
The Trustee has this very basic thing wrong in the meeting document. What concerns me is whether their interpretation of more complex matters is right.
