Yes, plenty of occasions.
And also plenty of examples of class actions brought by shareholders against company management for failing in their fiduciary duty to shareholders.
It's a delicate dance, no doubt, but I generally err on the side of supporting management to make deals commercially satisfactory for shareholders (and especially those management teams with significant skin in the game anyway).
