    Agree.

    Thus it becomes an arbitrage play with risk (if vote fails) and more upside if a White Knight pops up (unlikely but break fee only $200k).

    What I do not understand is the tax treatment regarding the inspecie distribution.

    Any thoughts would be greatly appreciated.
