The 12c is not taxable (capital, sale of assets). But only if you paid 12c or more for your shares (imo).
Selling on-market now at a loss is tax deductable, depending on your circumstances.
I would be inclined to take the capital return, and sell your shares after the distribution for a few cents. They might bounce back up a bit after a while.
