If you need such an incentive above your base salary to "secure ongoing commitment to the growth of the company", you should probably not be in that position. If I asked my boss for half a million dollars worth of incentives just so i would continue to give a toss, i would be looking for a new job pretty quick... Not saying incentives are a bad idea, but this seems rather excessive, especially considering the current circumstance for shareholders.
