IMHO, this is unfair and not in the best interests of shareholders.

The directors of MEI have done an excellent job in sourcing Cobalt Canada and the Canadian Projects. I have no problem with Resolution 1- ratification of tranche 1 placement, to get the project moving.

Resolution 2- the acquisition if fair, and uses 10day VWAP for the estimation of part of the payment to the vendors.

Resolution 3- the issuing of shares in a future placement- at $0.011. Why should professional or sophisticated investors be given a better deal than the vendors? As the share price has been consistently above 3 cents for more than 7 weeks now, surely a better deal can be worked out, which would give the company more money and minimize the dilution of shares held by ordinary folks.

Resolutions 4-12: I have no problems with these and I think that the directors, advisors
and future employees should be satisfactorily remunerated.

I believe that Resolution 3 should be replaced with a better deal.
What do other people think?
