Section 249d does not stipulate anything with respect to what is considered a quorum for a 249d vote. I believe a quorum will achieved if over 50% of the total 'votes' participating are in favour of the resolution, regardless of whether there are still a significant proportion of shareholders that just don't 'turn up'.
