You seem to be reading the same as me in that the Subscription Agreement has been executed already and that there is an Execution Date already.

If that is so then 1.2 (c) (iv) applies already.

ie "the Company must not, and must procure that none of its authorised persons, directly or indirectly enter into, continue or participate in any communication, negotiations or discussions with any other person regarding Competing Transaction....."

That to me looks like a 'no talk' provision. Its a lock out device in the language of the Takeovers Panel - or at least it would be if this was a proposed control transaction (a takeover or scheme of arrangement) - which it doesn't purport to be.
