(a) The securities will be issued to sophisticated and institutional investors, who are not related parties of the Company. The investors will be selected on the basis of their ability to provide funding to the Company.

The Shares will not be issued to:
o a related party of the entity;
o a member of key management personnel;
o a substantial holder in the entity;
o an adviser to the entity;
or an associate of any of the above.

I love this bit... But no definition of "Associate"

And what does ....
"The investors will be selected on the basis of their ability to provide funding to the Company.".....actually mean?

Funding.... Buy the 200,000,000 cheap shares?
Buy the 200,000,000 cheap shares and provide another Convertible Note?
Buy the 200,000,000 Cheap shares and enter into some other wealth transferring deal?

And they will be issued at the 80% of a price that has been manipulated down to ?????
