Yes basically the deal is:
1. Raise money from shareholders - $15m - don't tell them about the employee incentives.
2. Once you have your $15m then ask for options worth $4m to be given to the employees.
3. Terms are weak and not well aligned to shareholder interests.
Basic theft and dishonesty.
