Subscription for new shares at 23cents each with the purchase funded by a loan from Fenix. He has to pay back the loan or shares are forfeited (So fancy speak for saying if SP goes below 23cents he has no liability)
This is just a call option issued for free with extra steps except the purchaser doesn't need to pay for the time value of a call option.
Atleast performance shares although dilutive is beneficial to shareholders as metrics need to be met, this is literally a freebie with no checks.
