It would be game over for us little folk if not for the tenaciousness of Mr Gambotto who successful won a High Couirt Appeal against the majority shareholders a company, WCP Limited, who sought to acquire his minority shareholding. The High Court judgment is a very interesting read, The judgment of the Full Federal Court which ruled against Mr Gambotto will send chills down your spine. In a nutshell, the Full Federal Court held that the majority shareholders of a company can acquire the shares of the minority shareholders, against the will of the minority shareholders, if it can be shown that doing so will result in a benefit to the company as a whole, e.g. a reduction of the company's running costs, a tax benefit arising arise for the company. This would not be hard to show with some creative accounting/tax planning expert evidence. Gambotto is living proof of the power one person has to make the world a fairer place.
