I question whether George is allowed to vote in a resolution to wind-up while a takeover offer is on the table. He has a special interest so his votes should be disregarded but ultimately the chair of the meeting (or a court) decides on that. If the chair is weak then he will vote.
The investors that bought the STAM stake seem loosely aligned with George but not technically associated. Refer takeover panel ruling. Anyone else got a view here?
