Your endorsement of the new Board may well be correct, but most SHs will be wondering about such a glaring conflict of interest.
The crux of conflicts of interests is, as I am sure you are well aware, that you want to avoid the appearance of them irrespective of whether they are true or not.
Mrs Stoaty may very well be a fine CPA, but irrespective, you can't rule out people thinking that all this mobilizing of SHs was done for self-interested reasons...
Hard to see how you would get main SHs on board with this proposal
