Those with deep pockets will bid 67.5
Quite a few shareholders will sell to them.
Then these arbitragers will hand the shares over to the takeover entity and make 0.5 cents multiplied by however many millions of shares they have scooped up. Easy, no risk money for those that have plenty of it.
Unfortunately this aids and abets the takeover entity.
