This was a terrible deal for existing shareholders, wonderful for the noteholders whoever they are. The NHC board raised $200m of money they didn't need at the expense of existing shareholders and didn't even give shareholders the opportunity to participate. By the time the notes convert the strike price will be under $1. The board should be asked some difficult questions on this at the next opportunity.
