To take above a step further I'd say that the shell is required because whatever Quest is trying to do involves an international transaction and having the shell would make this process easier.
Just a guess but given our leader is NY based gives that angle some merit.
Hopefully Anthony has more to say but I wouldn't hold your breath as I doubt he'd want to say anything more about this announcement for fear of providing too much information.
If anyone has a relationship with Jonathan it may well be worth while asking him as I'm sure he is behind this approach.
