I think the key there is that they are only exercisable if any change of control event results in "...the holder’s role is changed materially such that they are employed in a lesser position than currently engaged...". So if Howie's role remains unchanged during any buyout (should that occur) then they remain as incentives and are not exercised immediately just because BOT is sold.
