'Performance' is unlikely to be the change in share value, as an issue of shares would cover this. This, however, takes a General Meeting, with a Resolution, as such, to be drafted.
Are these in addition to the 14.7million already on issue and who owns these?
There are a few reasons why Companies make such a 'placement,' which I will not discuss on this platform.
