The problem isn't the management getting free rights/options but it is the PIG that supported this management or remained abstain from voting.
As they say CEO is responsible for poor performance of the company only if Chairman sacks him/her but if the chairman continue with the same dumb performance then it is the chairman that is responsible and then if the voter who continue to vote in for the same chairman then it is the shareholders !!
