Shareholders 'voted' in very lenient performance goals as part of the remuneration. Always happens with listed companies.
Remuneration packages almost always get voted in because the chair gets the votes for 'undirected proxys' - shareholders that don't vote and don't nominate someone to vote for them. I'd say the majority of shareholders don't vote and don't know who their nominated representative is.
