These ESS shares that are held by the company as a seperate class of share.
The employees have an option to buy the shares upon the vesting conditions. In 4 years (3/2/2026), if not vested & exercised, the options will expire and the ESS shares could then be scrapped if NEU wanted.
I'd guess that either of those vesting conditions need to be met, not all of them. But i could be wrong on that.
All of this is typical for a director role.
