I think it is options to be issued. They have conditions to meet before they vest and then if they do vest and they choose to convert these options they will need to pay $3.46 per share. I took it to mean that there are 2 key personnel that are being issued shares and there will be other executives that are not under the definition of key personnel who get the remaining 700,000
