yes, in terms of scrip-based t/o, you'd want PPS shareholders to end up owning closer to 20% of the combined entity (current bid is around 15%).
The Heine family who controls NWL may not want that much dilution of their voting interests, but they'd still be the dominant shareholders and it's a fairer reflection of the value that PPS would contribute to the whole.
