I dont believe the VWAP is managed at the moment - it should be higher if they want to issue lower number of shares.
It is not necessarily bad for TER to not buy all of UNV if the holders dont want to budge. It will be stupid though and they would reduce the size of board significantly (2 TER board member including chairman and 1 other) to reduce costs etc.
Anyhow - its all dependent on the coal price which is currently generating $21 (cash) ebitda per tonne for TER. Its a matter of wait for us now until the higher priced supply throws in the towel and leaves and the coal price gets back to sustainable levels.
