ANNOUNCEMENT REGARDING THE CHANGE IN SENIOR MANAGER UNDER RULE 10.6.1

LISTING RULE 10.6.1 - CHANGE IN SENIOR MANAGER AT EROAD
For the purposes of Listing Rule 10.6.1, EROAD Limited (EROAD) notifies NZX
that Brian Michie has given notice that he will resign from his role of
Senior VP Founder, effective from 31 March 2016. Following 31 March 2016, Mr
Michie will remain available as a consultant to EROAD.
Mr Michie founded EROAD in 2000 with a vision to modernise New Zealand's
paper-based road user charges regime, and played an integral role in building
the EROAD business both in New Zealand and Oregon. Mr Michie has built a
very capable team both in New Zealand and the United States. That team is
responsible for EROAD's regulatory engagement and communications. In the US
our regulatory team is led by Gail Levario, with Andy Thackwray leading our
Australia/New Zealand regulatory team. Communications continues to be
managed by Sara Goessi. There are no current plans to replace Mr Michie's
role.
Mr Michie remains a supportive shareholder of EROAD and has personally
committed to extend the escrow arrangements he entered into at the time of
EROAD's IPO so that he will not dispose of one third of the 1,756,372 shares
that he holds and which are currently subject to escrow until 1 April 2016, a
further one third of the remaining shares until 1 October 2016 and the final
one third of the remaining shares until 1 April 2017.
The Board wishes to thank Mr Michie for his contribution to EROAD over the
past 15 years.
