PGC chairman steps down

Pyne Gould Corporation ("PGC") today announced that its chairman, Bryan
Mogridge, is stepping down.

Managing Director George Kerr thanked Mr Mogridge for his significant
contribution to the company as a director and then chairman.

"Bryan was a key figure and showed clear leadership through a difficult
restructuring period beginning in 2009, which saw PGC rescued through a
recapitalisation and led to the formation of the Heartland Bank and the
Torchlight Group.  His contribution was notable and he will be missed."

Mr Mogridge informed the PGC Board yesterday of his decision to step down for
personal reasons.  The resignation is effective today. The PGC Board will
appoint a new chair at its next meeting.
