CHANGE OF COMPANY SECRETARY

The Board has appointed Xero Limited's Senior Legal Counsel Matt Vaughan as
Company Secretary, effective 6 September 2013. Matt replaces Ross Jenkins in
this role. Ross remains Chief Financial Officer of Xero.
Pursuant to ASX Listing Rule 12.6, Matt is responsible for communication with
ASX in relation to listing rule matters.
