Correct on the shareholder vote, but call me cynical, I don't think PC or Board would put this to a vote without already knowing the outcome. Massive vote of no-confidence in both if they say this is a good thing only for shareholders to vote it down. Almost untenable to have half your shareholders or more disagreeing with your strategy/direction. Just my opinion but if it gets to a vote, it's because the major shareholders like it and PC and the Board already know the result.
