"Formal Agreement

The Company has undertaken appropriate enquiries and will undertake further due diligence into the assets and
liabilities, financial position and performance, profits and losses, and prospects of Dixie and the Projects to enable the
Board to be satisfied that Proposed Transaction is in the interests of the Company and its shareholders.

Omnia notes that until a Formal Agreement is executed by the parties, there is no certainty that the Proposed
Transaction will proceed."
