I think Thorney are putting forward a best case scenario for OVH's prospects. Even the other 'independent expert' put an upper valuation of 46c which is not much difference to the 43c by OVH's expert. Hardly a case to vote down the proposal. All sorts of questions need addressing before Thorney can convince me, the primary one being - who replaces Connie? She wants out, the remaining staff will be feeling unsettled and Iress may walk away maybe taking their custom with them. This has progressed too far for too long to now take a big leap in the dark to whatever Thorney may or may not do in the future. OVH itself has options should the vote fail even to the extent of selling off the individual parts of the company which may need only 50% shareholder approval. I doubt whether that would return 43 cps to the shareholders. My vote is FOR Iress's offer and then move on to greener pastures. If pretty much all shareholders can be convinced then it just may get approved.
