    I agree with Alex W. - the offer is opportunistic. I think fair value is nearer mid 40s. However there are quite a few disgruntled holders who are probably not prepared to wait for any long term improvements. Its just the right fit for IRESS so you cannot blame them for pouncing before things begin to look better.
