You obviously have no idea about the rights of Toyota.
They are entitled to maintain their ownership in Orocobre at 15% to ensure they are not diluted. What this means is once the deal is complete, ALL shareholders will be diluted by Toyota maintaining their 15% ownership rights.
This is a right they have, not you, me, or anyone else... but Galaxy management do receive some reward on completion of the deal so their holding isn't diluted.
