Fair question.
BP couldn't have ""tactically " assumed control of PO3 (as per the norm)" given that Dilato owned almost 67.5% of the company prior to BP becoming involved, with friendly parties holding probably another 20+%.
Consequently, BP had to "pay to play" and following his extensive DD, was obviously happy to do so.
