UPDATE ON VERTEX ACQUISITION AND EGM
19 October, 2007
The Directors of ADV Group and Vertex Group WLL would like to thank the ADV shareholders for their
patience and support whilst we complete the regulatory requirements prior to releasing the Notice of Meeting for an Extraordinary General Meeting (EGM) of ADV shareholders.
The Notice of Meeting materials have been approved by the ASX and are now with the ASIC for review. Once ASIC approval is granted (it is the ADV Group’s understanding that approval is imminent), shareholders of ADV will be able to vote on the proposal at the EGM thus formally securing the acquisition of the Saudi Arabian interests within the ADV Group. Whilst the Board of ADV and Vertex do not expect any further delays in the ASX/ASIC approval process for the Notice of Meeting to be issued, both Boards have agreed to extend the “transaction date” for as long as required, until final approval is granted.
Both the Boards of the ADV and Vertex fully support the merger of both entities. The Companies have been
working together as an integrated team for the last year to develop the portfolio of exciting projects within
Saudi Arabia. This includes the world class Jabal Sayid copper-gold-zinc project, as well as a portfolio of other
gold, nickel and platinum group metals projects.
We continue to make good technical progress on the Jabal Sayid Cu, Au Project and the other Projects in
Saudi Arabia. A second diamond core rig has now arrived at Jabal Sayid and will commence drilling in the next
48 hours. We are awaiting the delivery of third rig, an RC Rig which will undertake the drill-out of the Lode 2
Oxide Au/Ag Cap before moving to our 100% owned Jabal Shayban project. Further we should be in a
position to release drilling results in the next 1-2 weeks.
Both Boards thank you again for your continued support and look forward to the completion of the acquisition of Vertex Group and a successful and exciting future that should benefit all shareholders.
