    IMHO, I can't see the deal failing for only 4% below the threshold - someone would take a big haircut if that was the case!

    Common sense may prevail and they put an on market buy at $1.24 max, and mop up the little guys.

    From memory $1.24 was the upper value of the independent valuation.
