    It's only a recommendation by the board. They don't decide. They will just put it to the shareholders to vote on, although its important to note that Dusk board are also shareholders. What happens is, an offer is put forward and then the board will seek an independent valuation. Once this comes through, a recommendation is made and put to the shareholders to vote on. Its in their interest to convince the board due to them being large shareholders rather than the position they hold.
    Another important point is the way in which a valuation is conducted. Typically they do a comparables valuation, which is the best approach for someone wanting to takeover during low sentiment periods, and the worst thing for shareholders. Companies can pick up absolute bargains by using this approach since the comparables that are used are typically also hit due to the industry being in a down period. Ideally another valuation method is used, if it ever comes to that.
