Other major shareholders could be holding out for more... My gut feel is they are trying to get TO over the line at about .53 but have to do a bit of wheeling and dealing to get there. The rejection of the other offer with emphasis on the fact that it was only to acquire the project and not the whole company seemed an attempt to differentiate a new offer on this basis
