It's a win-win for shareholders...
I'll vote yes if the SP is 10c by AGM time. We get SP appreciation NEDs get to keep their pay and keep getting paid.
If the SP isn't at 10c, then I'll vote No. Staves of a CR for a while as the NED's will have to repay excess for FY 2018 and FY 2019 to date (say circa $200k), and either staff costs will drop dramatically with NEDs leaving, or they will accept having a significant portion of remuneration as equity based payments and will have a great incentive to see SP increase.
The above might light a fire under some arses!
