Thank you. I gather (thanks wiki) with stalking horse bids there is usually a sweetener such as reimbursement of expenses and a break fee. Those bids are intended to prevent low-ball bids but $1.2m doesn't sound like they've overbid. Obviously taking on $100m in debt has to be allowed for. A shareholder thought they might have a right to match the best bid but I don't know how well-informed that view is.
