just my opinion
this application is a crock
what is the cause of action?
for what legal reason should the court consider the remedies sought?
not disclosed .

The remedies sought gives away the game,ie,'and the company consider any proposal from pnpl for the issue of shares as well as any other proposal and to elect members of the board and alternatively, damages.

it also requests to join current board members and various entities personally as defendants.
if you want to scare people via litigation theres no better way then to attempt to make them personally liable.
scare tactics litigation.
