I dont mind this at all.
* We gave up no cash
* They cant sell shares for 6 months or buy more for 12 months (like the extended buy time if they were thinking takeover)
* The royalty as people have stated here is likely worth more than the share values issued
* We get to move forward! Never ever have to look at ROFR again!
* We gave the hares at pretty much the current price, no massive discount and MIN accepted that, shows our value in their eyes.
I have no idea what the SP will do for the following week, there will always be people on both sides (like it/hate it). So be it. IMO, not a bad deal at all considering the future crap it clears away. No future companies wanting to buy our product wondering if they will actually get it!
