To be fair, the way they are loudly broadcasting the issue of the placement stock to directors, or director-related entities tells me that they might actual believe they are doing the right thing by increasing the alignment of directors with those of the owners of the company.

I mean, if the intent is for directors to be preferentially treated, then that would be buried in the fine print somewhere, not shouted from the rooftops with all the details.

(On the other hand, surely they can't be that naive to be totally unaware of how poorly this will be perceived to be by minority shareholders. )
